Service Provider Terms and Conditions

Hold Harmless

The Service Provider agrees to indemnify and hold harmless Range Buddy, its officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorney fees arising out of or in connection with:

1. Any breach of this Agreement by the Service Provider;
2. Any violation of applicable laws or regulations by the Service Provider;
3. Any negligent or intentional acts or omissions of the Service Provider or its personnel;
4. Any claim or dispute between the Service Provider and its customers or any third party;
5. Any injury to persons or property caused by the Service Provider's services or products;
6. Any allegation that the Service Provider's services or products infringe or misappropriate the intellectual property rights of a third party.

Defense and Settlement:Range Buddy shall have the right to participate in the defense of any claim through counsel of its own choosing, at the Service Provider's expense. The Service Provider shall not settle any claim without the prior written consent of Range Buddy, which shall not be unreasonably withheld.

Notification: The Service Provider shall promptly notify Range Buddy of any claims, lawsuits, or legal proceedings related to the services provided under this Agreement.

Limitation of Liability: Notwithstanding any provision to the contrary, the total liability of the Service Provider under this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by Range Buddy to the Service Provider under this Agreement during the twelve (12) month period immediately preceding the event giving rise to the liability.

Safety Standards and Removal from the Instructor Marketplace

Safety Standards

The Service Provider agrees to maintain a minimum level of safety in providing its services through the Range Buddy platform. The Service Provider shall adhere to all applicable safety regulations and standards and shall take all necessary precautions to ensure the safety of its clients and any third parties involved in its services.

Safety Reviews

Range Buddy reserves the right to collect feedback and safety reviews from clients who have received services from the Service Provider. If a Service Provider receives a safety review that falls below a satisfactory level, as determined by Range Buddy in its sole discretion, Range Buddy may take any of the following actions:

1. Provide a warning or notice to the Service Provider regarding the safety concerns raised in the review.
2. Require the Service Provider to undergo additional training or certification to address the safety issues raised.
3. Temporarily suspend the Service Provider's access to the Range Buddy platform until the safety concerns are adequately addressed.
4. Permanently remove the Service Provider from the Range Buddy platform if the safety concerns persist or if the Service Provider fails to take appropriate corrective action.

Right to Appeal: In the event that the Service Provider disagrees with a safety review or the decision to remove them from the Instructor Marketplace, the Service Provider may submit an appeal to Range Buddy. Range Buddy will review the appeal and may, in its sole discretion, reconsider its decision.

Continued Compliance: The Service Provider acknowledges that continued access to the Range Buddy platform is contingent upon maintaining a satisfactory level of safety and complying with all safety standards and requirements set forth by Range Buddy.

Instructor Marketplace Fees

Service Fee

Range Buddy shall collect a service fee for all services sold or purchased through its marketplace ("Service Fee"). The Service Fee shall be a percentage of the total transaction amount, as determined by Range Buddy, and shall be deducted by Range Buddy from the payment made by the client prior to remitting the remaining balance to the Service Provider.

Changes to Service Fee

Range Buddy reserves the right to change the Service Fee at any time without prior notice. Any changes to the Service Fee will be effective immediately upon posting on the Range Buddy platform or notifying the Service Provider via email or other electronic communication.

Notification of Fee Changes

Range Buddy shall make reasonable efforts to notify Service Providers of any changes to the Service Fee. However, it is the responsibility of the Service Provider to regularly check the Range Buddy platform and their email for updates regarding the Service Fee.

Acceptance of Fee Changes

By continuing to use the Range Buddy platform and providing services through the marketplace after any changes to the Service Fee, the Service Provider acknowledges and agrees to the updated Service Fee.

Calculation and Remittance

Range Buddy shall calculate and collect the Service Fee based on the total transaction amount for services provided by the Service Provider through the Range Buddy platform. Range Buddy shall remit the remaining balance to the Service Provider in accordance with the payment terms specified in this Agreement.

Taxes

The Service Provider acknowledges and agrees that they are responsible for any taxes, including sales tax or value-added tax, that may be applicable to the Service Fee or the services provided through the Range Buddy platform.

Monthly Instructor Marketplace Subscription Fee

Subscription Fee

The Service Provider agrees to pay a monthly subscription fee ("Subscription Fee") for access to and participation in the Range Buddy instructor marketplace. The Subscription Fee shall be charged monthly in advance and is non-refundable, regardless of the Service Provider's level of activity or utilization of the marketplace.

Fee Changes

Range Buddy reserves the right to change the monthly Subscription Fee at any time without prior notice. Any changes to the Subscription Fee will be effective immediately upon posting on the Range Buddy platform or notifying the Service Provider via email or other electronic communication.

Notification of Fee Changes

Range Buddy shall make reasonable efforts to notify Service Providers of any changes to the Subscription Fee. However, it is the responsibility of the Service Provider to regularly check the Range Buddy platform and their email for updates regarding the Subscription Fee.

Acceptance of Fee Changes

By continuing to use the Range Buddy platform and paying the monthly Subscription Fee after any changes, the Service Provider acknowledges and agrees to the updated Subscription Fee.

Payment Terms

The Subscription Fee shall be payable by the Service Provider on a monthly basis, in accordance with the payment terms specified by Range Buddy. Failure to pay the Subscription Fee in a timely manner may result in suspension or termination of the Service Provider's access to the instructor marketplace.

Taxes

The Service Provider acknowledges and agrees that they are responsible for any taxes, including sales tax or value-added tax, that may be applicable to the Subscription Fee.

Client Refunds and Disputes

Responsibility for Refunds

The Service Provider shall be solely responsible for handling all client refund requests and the associated refund amounts. In the event that a client requests a refund for services provided by the Service Provider through the Range Buddy platform, the Service Provider agrees to promptly address the refund request and process the refund in accordance with their refund policy.

Collection of Refund Amounts

If a refund amount is owed to a client and the Service Provider fails to process the refund, Range Buddy reserves the right to collect the refund amount from the Service Provider's next available payout amount. Range Buddy shall have the authority to deduct the refund amount from any payments due to the Service Provider until the refund is satisfied.

Suspension for Non-Payment

In the event that the Service Provider fails to pay the refund amount owed to a client within a reasonable timeframe, Range Buddy reserves the right to suspend the Service Provider's access to the instructor marketplace until all monies owed, including the refund amount and any associated fees or charges, are paid in full.

Dispute Resolution

In the event of a dispute between the Service Provider and a client regarding a refund or any other matter related to services provided through the Range Buddy platform, Range Buddy may, at its discretion, intervene to facilitate communication and resolution between the parties. Range Buddy's decision regarding any such dispute shall be final and binding on the parties.

No Liability of Range Buddy

Range Buddy shall not be liable to the Service Provider or any third party for any refunds processed or disputes arising between the Service Provider and clients. The Service Provider acknowledges and agrees that Range Buddy's role is limited to providing a platform for connecting Service Providers with clients, and Range Buddy shall not be responsible for the actions or omissions of either party.

Instructor Certification and Insurance Requirements

Certification Requirements

The Service Provider agrees to maintain approved instructor credentials relevant to the services they offer through the Range Buddy platform. Approved instructor credentials may include, but are not limited to, certifications from recognized training organizations or governing bodies relevant to the services provided.

Verification of Certification

Range Buddy reserves the right to request proof of current instructor certification from the Service Provider at any time. The Service Provider agrees to promptly provide documentation or other evidence of their current certification upon request by Range Buddy.

Insurance Requirements

The Service Provider must maintain liability insurance coverage in accordance with the requirements of their state. If the state does not specify a minimum liability coverage amount, the Service Provider must maintain a minimum liability coverage of one million dollars ($1,000,000). The Service Provider agrees to provide proof of insurance coverage upon request by Range Buddy.

Suspension for Non-Compliance

In the event that the Service Provider fails to maintain current instructor credentials or adequate liability insurance coverage, Range Buddy reserves the right to suspend the Service Provider's access to the instructor marketplace until such time as the requirements are satisfied. Suspension may occur without prior notice and may remain in effect until the Service Provider can provide satisfactory evidence of compliance.

Notification of Changes

The Service Provider agrees to promptly notify Range Buddy in writing of any changes to their instructor credentials or insurance coverage status that may affect their eligibility to provide services through the Range Buddy platform.

No Liability of Range Buddy

Range Buddy shall not be liable to the Service Provider or any third party for any consequences resulting from the Service Provider's failure to maintain current instructor credentials or adequate insurance coverage. The Service Provider acknowledges and agrees that compliance with certification and insurance requirements is their sole responsibility.

Minimum Instructor Certifications and Approval

Minimum Certification Standards

Range Buddy reserves the right to establish and set minimum instructor credential standards for Service Providers who wish to offer their services through the Range Buddy platform. These minimum standards may include specific certifications, qualifications, or experience requirements relevant to the services offered.

Approval Process

Range Buddy shall have sole discretion in approving instructors for participation in the Range Buddy marketplace. The approval process may involve a review of the Service Provider's qualifications, certifications, experience, and any other relevant factors determined by Range Buddy.

Compliance with Standards

The Service Provider acknowledges and agrees to comply with any minimum certification standards established by Range Buddy. The Service Provider further acknowledges that failure to meet these standards may result in rejection or removal from the Range Buddy marketplace.

Review and Update of Standards

Range Buddy reserves the right to periodically review and update the minimum certification standards for instructors based on industry trends, regulatory changes, or other factors deemed relevant by Range Buddy. Any changes to the standards will be communicated to the Service Providers in a timely manner.

No Guarantee of Approval

The approval of instructors by Range Buddy is not guaranteed, and Range Buddy may reject or remove any Service Provider from the marketplace at its sole discretion, with or without cause.

Appeals Process

In the event that a Service Provider's application for approval is rejected or their approval is revoked, the Service Provider may request a review of the decision by Range Buddy. Range Buddy will consider such appeals in good faith but retains the right to make final determinations regarding the approval of instructors.
